Event Terms

These Event Terms govern registration, attendance, participation, sponsorship and other involvement in in-person and virtual events produced or administered by VMS Accelerators, Inc., doing business as ClubVMSA (“ClubVMSA,” “we,” “us” or “our”).

These Event Terms supplement the ClubVMSA Terms of Use, Privacy Policy and any applicable proposal, order form, invoice, sponsorship agreement or other written agreement.

By registering for, purchasing, accepting an invitation to or attending a ClubVMSA event, you agree to these Event Terms.

1. Applicability

These Event Terms apply to ClubVMSA programs and experiences, including:

  • Enterprise Roundtables
  • VISION
  • Women of Work
  • Today’s Buyer
  • Enterprise Mastermind
  • Provider Office Hours
  • Growth Lab sessions
  • Virtual briefings
  • Receptions, dinners, awards programs and related activities
  • Other events produced or administered by ClubVMSA

Additional event-specific terms may be displayed during registration or included in a proposal, order form or sponsorship agreement.

If these Event Terms conflict with a fully executed written agreement, the executed agreement controls for that transaction.

2. Registration and Eligibility

Registration is subject to availability, eligibility and confirmation by ClubVMSA.

Enterprise seats are reserved for qualified Enterprise Practitioners and are subject to verification and approval.

Solution Provider participation is available only through an eligible, confirmed paid participation position, ticket, sponsorship, partnership or expressly stated membership benefit.

Submitting a registration, saving an opportunity, adding an item to a portfolio or receiving an automated acknowledgment does not guarantee participation or reserve inventory.

ClubVMSA may verify the registrant’s identity, employer, professional role, company classification, membership status and payment status before confirming participation.

ClubVMSA may deny or cancel a registration submitted using inaccurate information or an incorrect account classification.

3. Enterprise Practitioner Participation

Qualified Enterprise Practitioners may be invited or approved to attend designated events without charge.

Complimentary participation:

  • Is subject to verification and approval
  • Is not transferable without ClubVMSA’s consent
  • Does not create a cash value
  • Does not guarantee access to every ClubVMSA program
  • May be withdrawn if the registrant’s role, employer or eligibility changes

Enterprise Practitioners must register individually. An invitation to one employee does not automatically extend to other employees of the same company.

If an approved Enterprise Practitioner can no longer attend, the participant should notify ClubVMSA promptly so the seat may be offered to another eligible practitioner.

4. Solution Provider Participation

Solution Providers may participate only through an eligible Provider ticket, sponsorship, partnership, membership benefit or other confirmed participation position.

Unless expressly stated otherwise:

  • An active paid ClubVMSA Provider membership is required to attend an Enterprise Roundtable
  • A free Provider account does not constitute paid membership
  • Membership fees and event-participation fees are separate
  • Purchasing a membership does not automatically include an event ticket
  • Purchasing an event position does not include membership unless expressly stated in writing
  • Each position includes only the number of attendees stated in its product description or agreement

ClubVMSA may deny event access if the Provider’s required membership or payment is not active and in good standing on the event date.

5. Event Positions and Inventory

Event participation may be sold or allocated by position, including:

  • VIP Access
  • Co-Lead
  • Welcome Moment
  • Breakout Session Co-Lead
  • Branded Table
  • Sponsorship
  • Branding Experience
  • Key Partnership
  • Other designated opportunities

Each available position may correspond to a specific inventory record or slot.

Displayed availability is informational and may change at any time. Selecting or saving a position does not reserve it.

Inventory is reserved only after ClubVMSA provides written confirmation and any required agreement, deposit or payment has been received.

If multiple companies request the same position, ClubVMSA may determine availability based on completed agreements, payment, program fit, category considerations and the order in which commitments were confirmed.

ClubVMSA does not guarantee exclusivity unless it is expressly stated in a signed agreement.

6. Pricing and Payment

Prices are stated in U.S. dollars unless otherwise indicated.

Applicable taxes, processing fees, travel costs and other charges may be additional unless expressly included.

Payment is due according to the applicable checkout terms, invoice, proposal or agreement. Failure to pay when due may result in:

  • Release of reserved inventory
  • Suspension of membership or event access
  • Cancellation of registration
  • Withholding of event benefits or deliverables
  • Collection activity for amounts owed

Launch, early-commitment, member or promotional pricing applies only during the stated eligibility period.

A quoted or displayed price does not create a binding obligation until ClubVMSA confirms the transaction.

7. Cancellations and Refunds

Unless an executed written agreement expressly provides otherwise, Provider membership fees, event tickets, participation positions, sponsorships and branding purchases are nonrefundable.

ClubVMSA commits resources, inventory, venue capacity and program planning based on confirmed participation. A participant’s inability to attend does not eliminate the purchasing company’s payment obligations.

Failure to attend does not entitle the purchaser to a refund, credit or reduction in fees.

Enterprise Practitioners attending without charge should notify ClubVMSA promptly if they cannot attend.

Nothing in this section limits rights that cannot lawfully be waived.

8. Substitutions

A registered participant who cannot attend may request to substitute a colleague from the same company.

The proposed substitute must:

  • Have reasonably equivalent seniority and professional relevance
  • Meet the same Enterprise Practitioner or Solution Provider eligibility requirements
  • Complete any required registration information
  • Receive ClubVMSA’s approval

Substitution requests should be submitted in writing at least 30 days before the event when reasonably possible. ClubVMSA may accept a later substitution when operationally feasible.

A substitution changes only the named attendee. It does not transfer the purchase to another company, event, product or participation position.

9. Transfers to Another Event

A confirmed purchase applies to the event identified in the applicable order, invoice or agreement.

A purchaser may request a transfer to another event more than 90 days before the originally scheduled event. Transfers are not guaranteed and are subject to:

  • ClubVMSA’s written approval
  • Eligibility
  • Available inventory
  • Current pricing
  • Payment of any price difference
  • The requirements of the new participation position

Event-change or transfer requests submitted 90 days or fewer before the event will not be accepted unless ClubVMSA agrees otherwise in writing.

Any approved transfer is a one-time accommodation and has no cash value.

10. Event Changes by ClubVMSA

ClubVMSA may modify an event’s:

  • Date or time
  • Venue
  • City-area location
  • Agenda
  • Format
  • Facilitator
  • Speaker lineup
  • Sessions
  • Attendee composition
  • Food and beverage
  • Technology platform
  • Program components

ClubVMSA will make reasonable efforts to preserve the event’s overall purpose and value.

The appearance or attendance of a particular individual, speaker, buyer, practitioner, company, sponsor or number of participants is not guaranteed.

Changes to the agenda, speakers, facilitators, attendee list or program order do not entitle a participant or purchaser to a refund.

11. Postponement, Relocation and Force Majeure

ClubVMSA is not responsible for delay, relocation, modification, postponement or cancellation caused by circumstances beyond its reasonable control, including:

  • Severe weather or natural disaster
  • Fire, flood or public emergency
  • Epidemic or pandemic
  • Government order or travel restriction
  • War, terrorism or civil disturbance
  • Labor dispute
  • Transportation interruption
  • Venue failure or unavailability
  • Utility, telecommunications or technology failure
  • Illness or unavailability of essential personnel
  • Other circumstances making performance illegal, unsafe, commercially impracticable or impossible

If ClubVMSA postpones or relocates an event, the applicable registration or purchased position will ordinarily be applied to the rescheduled or replacement event.

If ClubVMSA permanently cancels an event and does not provide a reasonably comparable replacement, ClubVMSA may, at its discretion and subject to any controlling agreement:

  • Provide a credit
  • Transfer the purchase to another event
  • Refund the portion paid for the cancelled event

ClubVMSA is not responsible for airfare, lodging, ground transportation, change fees, lost wages or other travel-related expenses.

Participants should purchase refundable travel or appropriate travel insurance when needed.

12. Participation Positions and Deliverables

Benefits associated with a participation position are limited to those stated in the applicable product description, proposal or agreement.

Unless expressly included in writing, a participation position does not guarantee:

  • Exclusivity
  • A speaking role
  • Logo placement
  • Attendee contact information
  • A specific number or type of attendees
  • A private meeting
  • A sales presentation
  • A business introduction
  • A contract, lead, RFP or commercial result

ClubVMSA may make reasonable adjustments to the timing, format or placement of a benefit while preserving its general purpose.

Unused benefits expire after the applicable event and have no cash value.

13. Co-Lead Participation

A Co-Lead position is a facilitated participation role and is not an unrestricted sales presentation.

A Co-Lead may be expected to:

  • Participate in advance preparation or facilitation training
  • Follow the ClubVMSA agenda and discussion structure
  • Support balanced participation
  • Help create meaningful takeaways
  • Avoid dominating the discussion
  • Refrain from product demonstrations or overt sales pitches unless specifically authorized

ClubVMSA retains final control over the agenda, format, facilitation method and attendee experience.

Where stated in the applicable product description, ClubVMSA may facilitate an advance introduction to an Enterprise Practitioner Co-Lead. Participation by a particular practitioner remains subject to availability and change.

For Women of Work roundtables, the Provider Co-Lead role is conducted alongside an Enterprise Practitioner Co-Lead—not as a discussion led solely with ClubVMSA.

14. Welcome Moments and Speaking Roles

A Welcome Moment or similar speaking benefit provides only the time and format stated in the applicable product description or agreement.

A standard Welcome Moment may include a front-of-room, three-minute welcome to attendees. It does not include facilitation of the full program unless expressly stated.

Speakers and sponsors must:

  • Remain within the assigned time
  • Follow content and format instructions
  • Avoid unlawful, defamatory or misleading statements
  • Avoid unauthorized political, discriminatory or offensive material
  • Submit requested materials by applicable deadlines

ClubVMSA may shorten, reschedule or discontinue a presentation that violates these requirements or disrupts the program.

15. Branding and Sponsorship Materials

Sponsors and partners must provide logos, artwork, advertisements and other materials by the stated deadlines and in the requested format.

Late, incomplete or unusable materials may prevent delivery of the associated branding benefit and do not create a refund right.

The sponsor represents that it owns or has permission to use all submitted materials.

The sponsor grants ClubVMSA a limited, nonexclusive, royalty-free license to use its name, trademarks and submitted materials to promote, produce and report on the applicable event and partnership.

ClubVMSA may reject materials that are unlawful, misleading, infringing, offensive or inconsistent with the event.

16. Attendee Lists and Introductions

Any attendee list is preliminary and subject to change before, during and after an event.

ClubVMSA does not guarantee:

  • Attendance by every listed individual
  • The accuracy of participant-provided information
  • A specific buyer-to-provider ratio unless expressly guaranteed in writing
  • Access to personal email addresses or telephone numbers
  • Introductions to every attendee
  • Responses or follow-up from participants

ClubVMSA may design Enterprise Roundtables around a targeted balance, including an approximately one-to-one ratio of Enterprise Practitioners to Providers, but actual attendance may vary because of cancellations, substitutions and other circumstances.

Attendee information may be used only for legitimate professional networking related to the event. It may not be scraped, sold, broadly distributed or added to automated marketing campaigns without appropriate permission.

17. Conduct

All attendees must behave professionally and respectfully.

Prohibited conduct includes:

  • Harassment, discrimination, intimidation or threats
  • Disruptive or unsafe behavior
  • Unauthorized selling during closed or facilitated sessions
  • Misrepresentation of identity or company
  • Sharing another person’s private information
  • Recording without permission
  • Distributing confidential remarks
  • Excessive alcohol consumption that disrupts the event
  • Violation of venue or platform rules

ClubVMSA may remove a participant without refund if it reasonably believes the participant violated these Event Terms or created a safety, legal or reputational risk.

18. Chatham House Rule, Confidentiality and Recording

Enterprise Roundtables and other sessions identified as closed-room discussions are conducted under the Chatham House Rule.

Participants may use the general information and insights received during the discussion, but may not reveal the identity or affiliation of the speaker or any other participant who provided the information.

Participants may not disclose confidential, proprietary, personal or commercially sensitive information shared during the session.

Unless ClubVMSA expressly authorizes it, participants may not:

  • Record audio or video
  • Livestream a session
  • Use an automated transcription or artificial-intelligence recording tool
  • Photograph confidential presentation materials
  • Capture or distribute screenshots
  • Publish verbatim participant remarks
  • Attribute a statement to a participant or company
  • Distribute attendee contact information without authorization

ClubVMSA may record designated sessions after providing notice and obtaining any consent required by law. Closed-room discussions will not be recorded or attributed unless ClubVMSA provides specific notice.

ClubVMSA cannot guarantee that every participant will comply with these obligations. Participants should exercise appropriate judgment before sharing sensitive information.

19. Photography and Publicity

ClubVMSA may photograph or record public and general-session portions of an event for documentation, education, reporting and promotion.

To the extent permitted by law, attendees grant ClubVMSA permission to use their image, voice, name, title and company affiliation as incidentally captured in event photography or video.

This permission does not authorize ClubVMSA to falsely imply an individual’s endorsement of a product or service.

Participants who do not wish to be prominently photographed or recorded should notify ClubVMSA in advance. ClubVMSA will make reasonable efforts to honor the request but cannot guarantee exclusion from incidental crowd images.

20. Health, Safety and Accessibility

Participants must comply with reasonable venue, safety and public-health requirements.

A participant who is ill, experiencing symptoms of a contagious condition or subject to an applicable isolation requirement should not attend in person.

Participants requiring a reasonable accessibility accommodation should contact ClubVMSA sufficiently in advance to permit coordination with the venue or service provider.

ClubVMSA cannot guarantee that every requested accommodation will be available but will make reasonable efforts to assist.

21. Travel and Personal Property

Participants are responsible for their own travel arrangements unless a written agreement states otherwise.

ClubVMSA is not responsible for:

  • Travel delays or cancellations
  • Visa or entry requirements
  • Lost or stolen property
  • Personal injury caused by a venue, transportation provider or third party
  • Hotel charges or incidental expenses
  • Changes in travel costs

Participants should secure valuables and follow venue and travel-provider policies.

22. Virtual Events

Virtual event access links are personal and may not be shared.

ClubVMSA may require authentication and may remove unauthorized users.

Participants are responsible for their own:

  • Internet connection
  • Compatible equipment
  • Audio and video settings
  • Appropriate surroundings
  • Compliance with recording and confidentiality requirements

Technical difficulties affecting an individual participant do not entitle that participant to a refund.

When a replay is offered, availability and duration may depend on membership, add-on and access status.

23. Assumption of Risk

Participation in an event may involve ordinary risks associated with travel, crowds, food, beverages, physical venues, networking activities and exposure to illness.

To the extent permitted by law, participants voluntarily assume the ordinary and reasonably foreseeable risks of attendance, except to the extent caused by ClubVMSA’s gross negligence, reckless conduct or willful misconduct.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLUBVMSA AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, FACILITATORS AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM AN EVENT.

CLUBVMSA WILL NOT BE LIABLE FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, TRAVEL COSTS, LOST DATA, REPUTATIONAL HARM OR THE ACTIONS OF OTHER PARTICIPANTS OR THIRD PARTIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLUBVMSA’S TOTAL LIABILITY RELATING TO AN EVENT WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO CLUBVMSA FOR THE SPECIFIC EVENT OR PARTICIPATION POSITION GIVING RISE TO THE CLAIM.

Nothing in these Event Terms excludes liability that cannot lawfully be excluded.

25. Indemnification

To the extent permitted by law, a participant or purchasing organization agrees to defend, indemnify and hold harmless ClubVMSA and its officers, employees, contractors and affiliates from third-party claims arising from:

  • The participant’s unlawful conduct
  • The participant’s violation of these Event Terms
  • Materials supplied by the participant or sponsor
  • Unauthorized recording or disclosure
  • Infringement of another party’s rights
  • Damage caused by the participant to a venue or third party

26. Governing Law and Venue

These Event Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles.

Unless the parties agree otherwise in writing, legal proceedings relating to these Event Terms must be brought in a state or federal court having jurisdiction in Connecticut.

27. Updates

ClubVMSA may update these Event Terms.

The terms in effect when a purchase or registration is confirmed generally govern that transaction. Reasonable updates concerning safety, conduct, technology, confidentiality or legal compliance may apply to future participation.
